GoGo Inventory Protection™ Terms & Conditions
The GoGo Inventory Protection™ Program ("Program") is an optional inventory protection service offered by ChargerGoGo, Inc. ("CGG") and is available only when purchased concurrently with the applicable Purchase Order.
1. Eligibility
The Program applies only to the eligible ChargerGoGo charging stations identified on the applicable Purchase Order for which the Program fee has been paid in full. The Program is non-transferable and applies solely to the original purchaser.
2. Coverage Period
The Program provides inventory protection for either:
One (1) Year Plan: Twelve (12) months from the date of delivery; or
Two (2) Year Plan: Twenty-four (24) months from the date of delivery,as specified on the applicable Purchase Order.
3. Eligible Returns
During the applicable Coverage Period, the Distribution Partner may request that CGG repurchase eligible charging stations that:
- have never been deployed, activated, installed, rented, or otherwise placed into commercial service;
- remain unused and in new condition;
- include all original accessories, components, manuals, and packaging (or equivalent packaging reasonably acceptable to CGG); and
- successfully pass CGG's inspection upon receipt.CGG reserves the sole right to determine whether returned products satisfy the Program requirements.
4. Repurchase Amount
For eligible returned products approved under this Program, CGG will repurchase the qualifying charging stations for 100% of their original purchase price, excluding:
- the Program fee;shipping, handling, insurance, customs duties, taxes, or similar charges;
- installation, service, training, or other non-product fees; and
- any promotional credits, discounts, rebates, or incentives previously received.
The Program fee is fully earned upon purchase and is non-refundable.
5. Return Authorization
Prior to returning any products, the Distribution Partner must obtain a Return Merchandise Authorization ("RMA") from CGG. Returns submitted without an authorized RMA may be refused.
Unless otherwise agreed in writing, the Distribution Partner is responsible for all return shipping, freight, insurance, and transportation costs.
6. Inspection
All returned products are subject to inspection by CGG. If any returned charging station fails to satisfy the Program requirements, CGG may:
(a) reject the return and return the product to the Distribution Partner at the Distribution Partner's expense; or
(b) offer a reduced repurchase value based on the product's condition, subject to the Distribution Partner's written acceptance.
7. Payment
Approved repurchase amounts will be issued within thirty (30) business days following completion of CGG's inspection and approval. CGG may issue payment by ACH, company check, or by crediting the Distribution Partner's Host Account, at CGG's discretion.
CGG may offset any outstanding invoices, fees, chargebacks, or other amounts owed by the Distribution Partner before issuing any repurchase payment.
8. Exclusions
The Program does not apply to any charging station that:
- has been activated, installed, deployed, rented, or placed into service;
- has been damaged, modified, repaired, or altered by anyone other than CGG;
- is missing components, accessories, serial numbers, or labels;
- has suffered damage due to misuse, abuse, neglect, accident, improper storage, or transportation;
- has been discontinued, recalled, or otherwise excluded by written notice from CGG due to regulatory or safety requirements.
9. LimitationThe Program constitutes a contractual repurchase option only and shall not be interpreted as a general return policy or refund policy. Except as expressly provided herein, all sales of ChargerGoGo products are final.
CGG reserves the right to modify or discontinue the Program for future purchases at any time. Such modification shall not affect any Program previously purchased and paid for.
10. Entire AgreementThese Terms & Conditions supplement the applicable Purchase Order and the Independent Business Owner Agreement. In the event of any conflict, these Program Terms shall govern solely with respect to the GoGo Inventory Protection™ Program.
